Principal Firm Responsibilities: A Guide to AR Oversight

The Appointed Representative model can provide an efficient route to market, but it also creates significant regulatory responsibility for Principal firms. Principals are responsible for the regulated activities undertaken by their ARs and must be able to demonstrate that effective oversight is in place at all times.

What must Principal firms be able to evidence?

Principal firms must be able to evidence that they have appropriate systems, controls, governance arrangements and resources in place to oversee their ARs effectively. This includes evidence that the AR was assessed before appointment, is monitored on an ongoing basis, and that emerging risks are identified and addressed.

The key areas of evidence typically include:

  • Due diligence before appointment
  • Fitness and propriety assessments
  • Financial stability assessments
  • A compliant AR agreement defining permitted activities
  • Regular monitoring and review activity
  • Complaints and revenue reporting
  • Governance oversight and MI
  • Consumer Duty and vulnerable customer monitoring
  • Annual AR reviews and Principal self-assessments
  • Evidence of escalation, remediation or termination action where required

The FCA increasingly expects firms to demonstrate not only that oversight activities occur, but also that they are effective and proportionate to the risks posed by each AR.

Feature Case Study

ICS has experience undertaking independent oversight reviews across AR networks of varying sizes and complexity, helping Principal firms identify gaps, strengthen controls and evidence compliance with regulatory expectations.

In 2025, Insurance Compliance Services (ICS) was engaged by a Principal firm to independently review its oversight arrangements for Appointed Representatives (ARs) and complete annual reviews across its AR network.

The project involved a detailed assessment of each AR’s activities, governance arrangements, and regulatory oversight requirements to help ensure the Principal firm continued to meet FCA expectations.

What should AR oversight involve?

Effective oversight is far more than an annual compliance exercise. The FCA expects Principal firms to apply ongoing, risk-based monitoring that reflects the nature, scale and complexity of the AR's activities.

A robust oversight framework typically includes:

Initial onboarding and due dilligence

Before appointment, Principals should assess:

  • Business model and activities
  • Financial position
  • Ownership and management structure
  • Competence and capability
  • Regulatory history
  • Operational and compliance arrangements
  • Potential consumer and market risks.

Ongoing monitoring

Oversight should include a combination of:

  • Regular management information reviews
  • Complaints analysis and root cause assessments
  • File reviews and quality assurance checks
  • Monitoring financial promotions
  • Assessment of Consumer Duty outcomes
  • Reviews of vulnerable customer processes
  • Periodic meetings with senior management
  • Monitoring changes to business activities, products, staffing or ownership.

Risk-based engagement

The FCA expects Principals to adjust oversight according to risk. Higher-risk ARs may require more frequent monitoring, deeper audits, increased management engagement and enhanced reporting.

How Do AR Annual Reviews Work?

Under the enhanced AR regime, Principal firms must undertake a formal review of each AR at least annually. The Principal must also complete an annual self-assessment of its overall AR oversight arrangements.

An effective AR review will typically examine:

01

Business activities

Regulated activities, product lines, target markets, business changes and customer outcomes.

02

Governance and management

Director or senior manager changes, fitness and propriety, competence and training.

03

Financial position

Financial stability, profitability, liquidity and conduct risks linked to financial pressure.

04

Compliance performance

Complaints, breaches, Consumer Duty outcomes, vulnerable customers, financial promotions and file review outcomes.

05

Oversight effectiveness

Whether monitoring remains proportionate, whether controls need strengthening and whether the AR relationship should continue.

The review should be documented, supported by evidence and capable of demonstrating meaningful challenge rather than simply confirming that everything appears satisfactory. The FCA has criticised firms that adopt a "tick-box" approach to annual reviews.

Common AR oversight gaps

  • Tick-box reviews
Many firms complete annual reviews and self-assessments but cannot demonstrate meaningful analysis, challenge or follow-up actions.
  • Poor management information
Firms often collect insufficient MI or fail to use complaints, revenue, conduct, customer outcome and business performance data to identify emerging risks.
  • Weak evidence of monitoring
Some Principals rely heavily on AR self-certification rather than conducting independent verification through audits, file checks, call reviews or management engagement.
  • Inadequate complaints oversight
The FCA has highlighted weaknesses in complaint analysis, root cause assessments and the use of complaint trends to drive improvements.
  • Failure to review AR agreements
Many firms are not reviewing AR agreements regularly enough to ensure they remain aligned with actual business activities.
  • Poor REP025 reporting
The FCA has identified errors in AR complaints and revenue reporting, including inaccurate returns and inadequate explanations for inactivity.
  • Insufficient oversight of inactive ARs
The FCA has made clear that inactivity does not remove the requirement for oversight. Principals must still monitor inactive ARs and understand why regulated activity is not taking place.

AR Oversight FAQs for Principal Firms

A Principal firm is responsible for the regulated activities undertaken by its Appointed Representatives. It must be able to demonstrate that appropriate systems, controls, governance arrangements and resources are in place to oversee ARs effectively.

Principal firms should retain evidence of due diligence before appointment, fitness and propriety checks, financial stability assessments, AR agreements, regular monitoring, complaints and revenue reporting, governance oversight, Consumer Duty monitoring, annual AR reviews and any escalation or remediation action taken.

Under the enhanced AR regime, Principal firms must complete a formal review of each AR at least annually. They must also complete an annual self-assessment of their overall AR oversight arrangements.

An AR annual review should examine the AR’s business activities, governance and management, financial position, compliance performance and the continued effectiveness of the Principal firm’s oversight arrangements. The review should be documented, evidence-led and capable of demonstrating meaningful challenge.

Effective AR oversight should go beyond an annual compliance exercise. It should include ongoing, risk-based monitoring that reflects the nature, scale and complexity of the AR’s activities, including MI reviews, complaints analysis, file reviews, financial promotions monitoring, Consumer Duty outcomes and vulnerable customer processes.

Common gaps include tick-box annual reviews, poor management information, weak evidence of monitoring, inadequate complaints oversight, failure to review AR agreements, poor REP025 reporting and insufficient oversight of inactive ARs.

Earlier this week I was sent details of what would be required for a Network audit at the end of the month. The amount of documents, policies, procedures and registers required for this were terrifying and would previously have taken me 2 weeks of solid work to pull together, whilst still trying to run the business and look after clients. Because of the work Casey had already done for us though, in only 2 visits, literally everything needed was readily available, up to date and perfect. Can’t thank her enough and wouldn’t hesitate to recommend her to anyone else. Insurance Business Owner
