Independent AR Oversight Review for a Principal Firm

In 2025, Insurance Compliance Services (ICS) was engaged by a Principal firm to independently review its oversight arrangements for Appointed Representatives (ARs) and complete annual reviews across its AR network.

The project involved a detailed assessment of each AR’s activities, governance arrangements, and regulatory oversight requirements to help ensure the Principal firm continued to meet FCA expectations.
 

The Challenge


Principal firms are responsible for ensuring that their Appointed Representatives operate in accordance with FCA requirements and that appropriate oversight arrangements are maintained. The regulator is becoming increasingly forensic in its scrutiny of principals’ adherence to its rules, and has taken action against principals it finds are falling-short of its expectations.

In this case, the firm required an independent review of 16 ARs operating across differing business models, customer groups and product lines. Each AR presented different levels of regulatory risk and oversight requirements, requiring a proportionate and tailored review approach.

The Principal firm also wanted assurance that its own governance framework, policies and oversight processes remained appropriate and effective.

Our Approach


Elly Miller, Technical Consultant at ICS led the project, overseeing the planning, scoping and delivery of the review programme with support from the wider ICS team.

The review process included:

  • Tailored annual reviews for each AR based on the nature and scope of their regulated activities
  • Direct engagement and meetings with AR firms
  • File audits and compliance checks
  • Assessment of governance arrangements and oversight processes
  • Review of the Principal firm’s policies, procedures and monitoring framework

Each review was adapted to reflect the specific activities, products and customer profiles of the AR concerned, ensuring that the work remained proportionate and risk-based.
 

The Outcome


ICS completed an independent review of all 16 ARs and provided the Principal firm with detailed feedback, assurance and targeted recommendations for improvement. The project helped the firm strengthen its oversight arrangements and provided confidence that its responsibilities as Principal continued to align with FCA expectations and regulatory requirements.

The firm provided feedback to confirm that they were very happy with ICS’s work and have recently advised that they may wish for ICS to undertake a similar piece of project work again in the near future.
 

"I am the Compliance and Risk director of a small insurance services firm which mainly acts as a regulatory principal and specialises in the launching, development and support of start-up firms looking to become appointed representatives (ARs) in order to commence insurance distribution activities. A significant part of our oversight and supervision work as a regulatory principal involves carrying out annual monitoring reviews for our ARs.

In 2025, Elly Miller and her team from ICS undertook an important project for us by conducting the annual monitoring reviews of our ARs. Elly then provided us with a report for each AR with a summary of their progress toward regulatory compliance, identifying any gaps or risks and making recommendations for improvement. We were very impressed with the clarity of Elly’s reports and the efficiency and professionalism with which she completed this very important exercise for us; this enabled us to deploy resource elsewhere without having to worry about conducting the annual monitoring programme ourselves. Elly also provided guidance for our own staff when explaining her monitoring methods and reporting criteria, which was extremely helpful."
